Whenever you visit our site or submit your information to be contacted, you are agreeing to our terms and conditions. We reccomend you read this thoroughly.

1. ACCEPTANCE OF TERMS

By accessing this website, submitting any form, booking a call, making a payment, or using any services provided by WDLG Marketing, you agree to be bound by these Terms of Service (“Terms”).

If you do not agree, do not use this website or purchase any services.

Continued use of the website or services constitutes ongoing acceptance of these Terms.

2. DEFINITIONS

  • “WDLG Marketing,” “we,” “us,” “our” refers to WDLG Marketing and its affiliated entities.

  • “Client” or “Member” refers to any individual or business that purchases services.

  • “Visitor” refers to any user who browses the website without purchasing.

  • “Services” include marketing services, consulting, listings, call tracking, website creation, Google Ads management, and related offerings.

  • “Third-Party Platforms” include, but are not limited to, Google, CallRail, Wix, hosting providers, directory services, and advertising platforms.

3. NATURE OF SERVICES (NO GUARANTEES)

​

WDLG Marketing provides marketing, advertising, consulting, and digital services only.

We do not:

  • Guarantee revenue, profit, call volume, rankings, or business success

  • Control customer behavior, conversion rates, or client performance

  • Act as a partner, employer, broker, joint venturer, or agent

Any revenue figures, examples, estimates, projections, or statements discussed on sales calls, shown on websites, or shared in materials are illustrative only and not promises or guarantees.

4. SALES CALL & COMMUNICATION DISCLAIMERS

​

All sales calls, consultations, emails, texts, recordings, chats, and discussions are informational and non-binding.

Only the following govern the relationship:

  1. These written Terms of Service, and

  2. The service description presented at checkout or invoice

No verbal statement, sales call, recording, message, or informal communication:

  • Modifies these Terms

  • Creates ownership rights

  • Guarantees results

  • Overrides written policies

Sales calls and communications may be recorded for quality, compliance, training, and dispute resolution purposes.

5. GOOGLE ADS & ADVERTISING PLATFORMS

​

5.1 Account Structure & Ownership

All Google Ads accounts:

  • Are created, structured, and managed using WDLG Marketing proprietary systems

  • Remain under WDLG Marketing administrative control

  • Are not transferred upon cancellation unless explicitly stated in writing

Clients may receive billing visibility only, unless otherwise agreed to in writing.

5.2 Advertising Spend Responsibility

Clients are solely responsible for:

  • All Google Ads spend

  • Threshold charges

  • Suspended or overdue balances

  • Card failures, payment declines, or billing errors

WDLG Marketing does not control Google’s billing systems, policies, or enforcement actions.

5.3 Suspension Disclaimer

If a Google Ads account is paused or suspended due to:

  • Non-payment

  • Billing issues

  • Card failures

  • Third-party platform enforcement

This does not constitute a breach by WDLG Marketing.

Services may be paused accordingly, and no refunds are owed.

6. INTELLECTUAL PROPERTY

​

All materials, systems, campaigns, account structures, ad strategies, templates, processes, workflows, and intellectual property are the exclusive property of WDLG Marketing.

Clients receive a limited, revocable license to use deliverables only while services are active and the account is in good standing.

No ownership or transfer of intellectual property occurs unless explicitly stated in writing.

7. ASSETS PROVIDED & RETAINED UPON CANCELLATION

​

7.1 Assets Clients May Retain (If Eligible)

Upon cancellation, clients may retain:

  • Website

  • Business phone number

  • Directory listings

  • Google Business Profile

ONLY IF:

  • The account is in good standing, or

  • The client is the asset owner as determined by WDLG Marketing

7.2 Account Standing Requirement

A Client is not in good standing if any of the following exist:

  • Unpaid invoices

  • Outstanding balances

  • Failed, reversed, or disputed payments

  • Chargebacks or disputes

  • Unpaid Google Ads or third-party platform balances

  • Costs incurred on the Client’s behalf that remain unpaid

7.3 Right to Withhold Assets

WDLG Marketing reserves the right to withhold, suspend, disable, delay, or deny release or transfer of any assets or access until all balances are paid in full.

This includes, but is not limited to:

  • Websites

  • Phone numbers

  • Listings

  • Google Business Profiles

  • Credentials

  • Deliverables otherwise described as “kept”

There is no obligation to release assets while an account is delinquent.

7.4 No Waiver

Temporary access, partial access, or prior release of assets does not waive WDLG Marketing’s right to:

  • Full payment

  • Enforcement

  • Future withholding

  • ​

8. CANCELLATION POLICY

​

Services are month-to-month unless otherwise stated.

Cancellation may be submitted at any time; however:

  • No refunds are issued for services rendered

  • No prorated refunds apply

  • Cancellation does not erase outstanding balances

  • ​

9. REFUND POLICY

​

All sales are final due to the digital and service-based nature of offerings.

Refunds may be considered only if:

  • The Client contacts WDLG Marketing directly, and

  • A resolution is mutually agreed upon in writing

Initiating a chargeback without first contacting us may result in immediate service termination.

10. DISPUTE POLICY

​

Disputes and chargebacks are treated as serious matters.

WDLG Marketing reserves the right to submit all relevant evidence, including but not limited to:

  • These Terms

  • Agreements

  • Sales call recordings

  • Logs and communications

  • Platform notices

  • Billing and payment records

Clients agree to attempt good-faith resolution before filing disputes or chargebacks.

11. LIMITATION OF LIABILITY

​

WDLG Marketing shall not be liable for:

  • Lost profits

  • Lost business

  • Advertising results

  • Platform suspensions

  • Indirect, incidental, or consequential damages

Total liability shall not exceed the amounts paid to WDLG Marketing in the 30 days preceding the claim.

12. INDEMNIFICATION

​

Clients agree to indemnify and hold harmless WDLG Marketing from any claims arising from:

  • Use of services

  • Client advertising content

  • Failure to pay third-party platforms

  • Violation of these Terms

  • ​

13. GOVERNING LAW & VENUE

​

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.

​

14. MODIFICATIONS

​

WDLG Marketing may update these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.

FINAL NOTE

​

These Terms represent the entire agreement between the Client and WDLG Marketing.

​

No verbal statements, recordings, emails, sales calls, or prior understandings override this document.
